11. Breach of Contract by Client
If the Client fails to cure the breach within the specified period, the Contractor has the right to terminate the Contract immediately. Upon termination, the following terms will apply:
- Payment Obligation: The Client remains liable for paying for all services rendered by the Contractor up to the date of termination, including any completed portions of the project.
- Full Payment Due: If the breach relates to failure to make payment, the Client will be responsible for the full contract price, including any unpaid balances and costs incurred due to the breach.
If the Client breaches the Contract and fails to remedy the breach within the cure period, the Contractor may pursue any or all of the following legal remedies:
- Monetary Damages: The Contractor may seek compensation for any actual, consequential, and direct damages resulting from the Client's breach.
- Injunctive Relief: The Contractor may seek a court order to enforce the terms of this Contract if applicable.
- Suspension of Services: The Contractor may suspend any remaining services under the Contract until full payment is made or the breach is cured.
Intellectual Property (IP) Ownership:
Upon full payment, the Client will own all IP rights in the final deliverables, but the Contractor retains the rights to any pre-existing IP used in the project (e.g., templates, custom libraries).
Revisions and Change Requests:
The project includes up to [X] revisions during the design phase. Any additional revisions or significant changes after approval will incur additional costs at the hourly rate.
Warranty and Liability Limitations:
The Contractor warrants that the website will function according to the specifications at the time of delivery. However, the Contractor is not responsible for third-party tools or services that malfunction post-launch.

Payment terms are as follows: 50% before the project starts, 50% once we launch the website on your custom domain. I don’t do graphic design, illustrations, video editing, video montage or any other type of task. My expertise is strictly in web design & web development and I prefer to do the tasks I’m the best at. However if you truly need these and wish to work with me, I can hire a freelancer colleague to assist with tasks besides just web design & web development.
I prefer to be involved early in the project, during wireframing stage. I prefer to work on my own as that’s how I generate the best results, or bring my own team on board.
